End User Licence Agreement

This EULA is the product-specific licence for the Software under the Terms of Service. On the installation, scope, technical protection and operation of the Software, this EULA applies and prevails over the Terms if the two ever conflict. On every other matter, including accounts, organisations, fees, renewal, the right of withdrawal, warranties, indemnities, limitation of liability, changes and disputes, the Terms govern and this EULA only points to them. An Enterprise Agreement or Order Form signed by both parties prevails over both where it conflicts. The Documentation explains how the Software works but does not change what this EULA permits.

If you are a Consumer, meaning a natural person acting mainly for purposes outside your trade, business, craft or profession, nothing in this EULA limits the rights that mandatory consumer protection law gives you, including under the Swedish Consumer Sales Act (2022:260) and the law of the country where you live. Where a provision would limit such a right, it applies to you only to the extent the law allows. A Business Customer is anyone who is not a Consumer.

This EULA is written in English. If we provide a translation, the English version prevails to the extent the law of your country permits.

Paramora Prism™ is a plugin for Autodesk Navisworks Manage. It reads the model open in Navisworks, or, where your Plan includes Fast Export and you enable it, a clean saved NWD file through a separate local Component, and writes your chosen Output on the same workstation. It is not a cloud service, and it does not send your Models anywhere. Ultra plans also include a command-line engine that exports an existing Paramora model snapshot without the Navisworks user interface; it is not a general-purpose reader of Navisworks files.

• A 64-bit Windows 10 installation, version 1809 (build 17763) or later, or Windows 11, with the Windows user able to write to their own profile. The installer is per-user; a machine-wide administrator installation is not required.
• Autodesk Navisworks Manage 2025, 2026 or 2027, validly licensed and installed on the same workstation for the same Windows user. You are responsible for obtaining and complying with the Autodesk licence for it.
• The Microsoft Edge WebView2 runtime, which the installer includes when it is missing.
• A system web browser for signing in, and periodic network access to the Licensing Services as described in the section Activation, entitlement checks and offline use.

The current requirements and supported Navisworks releases are stated in the installation documentation, which prevails if it is more recent than this list. Neobuilt is not affiliated with, endorsed by or sponsored by Autodesk, Inc. or Microsoft Corporation. Autodesk and Navisworks are trademarks of Autodesk, Inc.; Microsoft, Windows and Edge are trademarks of Microsoft Corporation.

Obtain the Software only from the Prism page on the Website. Production installers use Windows Authenticode signing. We do not distribute the Software through third-party download sites, and an installer obtained elsewhere is not covered by this EULA or by any warranty. When we offer an unsigned preview build, the Website says so and publishes its SHA-256 checksum; the section Free tier, evaluations and preview builds applies to it.

Subject to this EULA, the Terms and payment of the fees for your Plan, we grant you a non-exclusive, non-transferable licence, for the licensed period of your Plan, to install and use the Software in executable form on the Machines and for the Seats your Plan includes, with the capabilities, formats and limits your Plan includes, as published on the pricing page or stated in your Order. The licence is non-sublicensable except as this EULA, a third-party licence or mandatory law permits.

You may use the Software for your business, including paid professional work and deliverables for clients, and for personal use. You may deliver, publish and share your Outputs without buying a licence for their recipients; only using the Software itself requires a licence. The Software does not have to be licensed to the owner of a Model, only to the person operating it.

The Software is licensed, not sold. We and our licensors keep all rights, title and interest in the Software, its Components, its file formats and protocols, and the Documentation, including all intellectual-property rights, and reserve every right not expressly granted. Nothing in this EULA transfers ownership of any copy to you, and no right is granted by implication or estoppel.

A Seat belongs to one named person and may be active on the number of Machines stated for the Plan on the pricing page or in your Order. That person may deactivate their own Machines in the account portal. A Seat may not be shared, pooled or rotated among several people, and a person may not use another person's Seat.

• From 5 Seats, Pro and Ultra capabilities are sold as Team Seats owned by an organisation, in the seat bands published on the pricing page.
• Seats bought by an organisation belong to it. Its managers may assign a Seat to a member and reassign it to another member, which deactivates the previous holder's Machines. Each Seat may change hands once every 30 days. That limit is what stops a small number of Seats being rotated among more people than were licensed, and circumventing it is a breach of this EULA.
• Organisation-owned access is separate from a member's own personal Plan; the Software shows the effective Plan for the signed-in Account after verifying its entitlement.

Where your Plan includes it, a floating pool licenses concurrent use rather than named people. The Software takes a short-lived lease from the pool when a member starts a session, refreshes it while the session runs, and returns it when the session ends or after the idle period stated in the Documentation. Only as many people as the pool has leases may use the Software at the same time. You may not use technical measures to hold leases you are not actively using.

• Headless and scripted use of the command-line engine is available on Ultra plans and is licensed per pipeline through an Automation Key, on the terms of your Order. An Automation Key never consumes a human Seat and may not be used to replace one, and a human Seat may not be used to run unattended pipelines.
• A key is shown to you once; we keep only a hash and a short hint. You must keep it confidential, store it in a proper secret store rather than beside request files, use it only for the pipelines it was bought for, and rotate it if it may have been exposed.
• Each pipeline needs a supported Machine with the complete signed engine and the required Components, a version-matched model snapshot produced through an approved connector or capture workflow, and either a Machine-scoped online entitlement or a separately issued offline licence. The request schema, protocol version and result codes are versioned inputs supplied with your managed deployment; see the automation documentation.

Where your Plan includes it, we can issue a separate offline or air-gapped licence, together with signed offline Component media, for Machines that cannot reach the Licensing Services, on the terms stated in your Order. Ordinary online credentials, a copied credential store or a copied Component folder are not an offline licence and may not be used as one.

A Machine is one physical or virtual Windows installation. Cloning, snapshotting, resetting or otherwise manipulating a Machine or its identifiers to obtain more activations than your Plan includes is a breach of this EULA.

The Free tier runs for 30 days from the day you verify your Account, on one Machine, and is limited to 10,000 elements per export from a source Model of 25 MiB or less, in the formats stated on the pricing page. Commercial use is allowed. It is supported by the Documentation and the community rather than by a support commitment. One Free grant is available per person; creating additional Accounts to obtain more is a breach of this EULA.

• An organisation evaluating a Team or Enterprise plan may be offered a pilot of up to 10 Seats for 30 days, arranged through sales. Signing in does not create a pilot. A pilot is for evaluation only and ends automatically unless converted to a paid Plan.
• Where available, a verified Account may explicitly start one time-limited Pro or Ultra evaluation without a payment card. The tier and expiry are fixed at activation; repeated requests do not restart it, and no subscription or charge begins when it ends.
• We may issue verified, time-limited academic grants to students, teachers and researchers for non-commercial use. We may ask for proof of eligibility, and a grant ends when eligibility ends.
• Evaluation and grant time does not count as paid service for the perpetual fallback licence described in the section Term, termination and the perpetual fallback licence.

We may change the limits of free grants, decline to issue them, or withdraw one that is being misused, on notice to you. Free grants are provided without charge, so the limited warranty and the indemnity in the Terms of Service do not apply to them, subject always to the rights of Consumers under mandatory law.

We sometimes make pre-release builds available, including builds marked as unsigned previews. They are provided for evaluation, may contain defects, may change or be withdrawn without notice, and may be less secure than a production release. Use them only on data you can afford to lose and do not rely on them for project deliverables. The Website tells you when a download is a preview and shows the checksum to verify; a checksum confirms the file you downloaded, not the identity of its publisher.

The Software signs you in through your system web browser and the Neobuilt account site; you never enter your Account password inside Navisworks, and your Model is not part of the exchange. A one-time result returns to the Software through a local loopback callback. Short-lived access material stays in memory, and the refresh credential is protected for the current Windows user with the Windows Data Protection API. You may not extract, copy or reuse that credential elsewhere.

The Software verifies a short-lived signed entitlement with the Licensing Services when it activates, at intervals while it runs, before each export operation and when it downloads Components. The signed entitlement controls which capabilities, formats and limits the engine makes available. We may refuse or revoke an activation where an Account is suspended, a Seat is over-allocated, a payment is overdue after notice, a credential has been compromised, or the Software is being used outside this EULA.

After a transient loss of connection, the Software can keep working for the bounded grace period stated for your Plan in the licensing and updates documentation. The grace period never extends the expiry date of the licence itself. Outside that period, or a separately issued offline licence, the Software needs periodic access to the Licensing Services to keep working. Disabling delivery networking in the Software's settings can prevent activation, entitlement refresh and updates.

We may use the entitlement data the Licensing Services already collect to verify that your use stays within your Plan. If we find material use beyond it, we will tell you, and you will bring your licences into line within 30 days by buying the additional Seats or Plan at the then-current price. Any further audit right applies only where an Enterprise Agreement provides for it.

The Software keeps its Navisworks integration small and downloads only the signed Components your Plan includes. It verifies the signed catalogue and each Component before activation, and a Component that fails verification is not activated. A required native path that is unavailable stops the export rather than silently changing the target. You may install only the Components the Software delivers for your Account, and you may not copy engine, connector or Component files between Machines or extract them for use outside the Software.

• When delivery networking is enabled, the Software checks the signed update catalogue in the background and can announce an update, but it does not download or activate a product update without your action. Only a user-started download installs it.
• Updates are verified and activated as one coherent Component set; a failed member leaves the previous set active. A running export keeps its Component set until it finishes. Connector changes can require Setup to run again or a Navisworks restart.
• Use Repair to re-verify active files only when the Software reports a missing or damaged Component or support asks you to; see the components and repair documentation.
• Updates may add, change or remove features as the Terms allow. We may require a supported version where reasonably necessary for compatibility or security and will give advance notice of an end of support. For Consumers, we supply the updates, including security updates, that are necessary to keep the Software in conformity for the period you can reasonably expect, and at least for the term of your subscription.

Stable is the default release channel. Pinning to a long-term support (LTS) channel requires an eligible Ultra entitlement; the channel is stored with the Account and authenticated update checks then use the LTS catalogue for the support period stated in your Order. Plans that include channel pinning may use the designated release for that period. Managed deployments should agree release channels, rollout timing, offline arrangements and security-update support for the selected version in the Order.

The Software processes your Models on your own workstation. Opening, converting, validating or reviewing a Model does not upload it, its exports or its validation reports to us, and we do not receive your Models unless you deliberately send them to support through a separately agreed secure channel. You are responsible for having the rights you need in your Models, for the confidentiality obligations attached to them, for your own backups, and for handling Outputs, property sets, screenshots and diagnostics according to the information classification of the project. A cloud-synced folder, network drive or third-party plugin can introduce its own data transfers, which this EULA does not cover.

As between you and us, you retain your rights in your Models and in the Outputs produced from them. We do not acquire ownership of those materials or claim rights in them because you used the Software. Rights in third-party source material remain with their owners, and this EULA does not guarantee that an Output qualifies for copyright protection or transfer rights you do not hold. You may use and share Outputs, including commercially, subject to those underlying rights. Software-identifying metadata in Outputs may be kept or removed, unless an applicable third-party licence requires a notice to remain.

To provide and protect the licence, the Software exchanges the following with the Licensing Services, as described in more detail in our Privacy Policy:

• Account and entitlement data. Account and licence identifiers, activation and lease records, product version and channel, device identifiers or machine hashes, request times and connection information, used to validate access and deliver licensed Components.
• Delivery data. Version, platform, channel and Component requests, used to deliver the appropriate signed Components and updates.
• Automation Keys. For headless use, only a hash of the key and a short hint are stored.

The Software writes its logs and validation reports on your own machine; they are not sent to us. The Software does not upload diagnostics on its own. If support asks for a file, you choose what to provide, through a separately agreed secure channel, and should review it first and remove credentials, access tokens and material we do not need. We treat material you send as confidential and handle it as the Privacy Policy describes. If it includes personal data we process on your organisation's behalf, the data-processing terms in the Terms apply.

We do not use your Models, Outputs or diagnostics to train machine-learning models, and we do not allow any third party to do so.

Neobuilt AB is the controller of the personal data described above, processed for our own account, security, licensing and billing purposes. Our Privacy Policy explains the purposes, legal bases, retention and your rights, and you can exercise those rights through privacy@neo-built.com.

The Software, its Components, its model snapshot and request formats, the Documentation and all copies are the property of Neobuilt or its licensors and are protected by copyright, trade secret and other intellectual-property law and international treaties. Your only rights in the Software are the licence rights this EULA expressly grants.

Neobuilt, Paramora™, Paramora Prism™ and the associated logos are trademarks or trade names of Neobuilt. This EULA grants no right to use them without our prior written permission, except to refer to the Software truthfully. Third-party names, including Autodesk, Navisworks, Microsoft and Windows and the names of the destination applications named in the Documentation, belong to their owners and are used only to describe compatibility.

If you voluntarily give us suggestions about the Software, you permit us to use them to develop and improve our products without payment. This does not transfer ownership of your Models or Outputs, override confidentiality or data-protection obligations, or authorise us to use third-party material you cannot license. We are not obliged to implement a suggestion.

This EULA applies from the moment you first download, install or use the Software and continues for as long as you have a valid Plan, grant or perpetual fallback licence for it. Each licensed period runs with the Plan it belongs to; the Terms describe how subscriptions run, renew and are cancelled.

• Your licence for the Software ends when your Plan expires or is cancelled and not renewed, when a grant, pilot or evaluation ends, when an organisation reassigns or releases your Seat, or when we terminate under the Terms for a breach you have not cured within the time the Terms allow. Breaches of the sections Restrictions and Plans, Seats, Machines, pools and keys that cannot be cured, and any circumvention of technical protection, permit immediate termination with notice as soon as reasonably possible.
• When the licence ends you must stop using the Software, and, unless you hold a perpetual fallback licence for it, uninstall it from every Machine. Outputs you have already written remain yours and are unaffected.
• If we discontinue the Software, we will give paid customers at least 90 days' notice and refund prepaid fees for the period after discontinuation, as the Terms provide. A perpetual fallback licence survives discontinuation.
• Consumers also keep the withdrawal and termination rights described in the Terms.

If you have paid for a subscription to Paramora Prism™ for 12 consecutive months and the subscription then lapses other than through termination for breach, you keep a perpetual, non-exclusive licence to use the version of the Software that was current 12 months before the lapse, at the lowest tier you held continuously during those 12 months, for the same number of Seats and Machines. The fallback licence applies to organisation-owned Team Seats as well as individual Seats. It is pinned to its qualifying version and the Stable catalogue, and does not include later updates or new features, Automation Keys, floating pools, LTS pinning or support. It remains subject to this EULA and the Terms. The fallback version continues to validate through the Licensing Services; if we ever discontinue the services needed to validate it, we will provide a reasonable alternative means of validation so that the licence keeps working.

The sections Rights reserved, Restrictions, Your Models, your Outputs and what the Software sends, Intellectual property, Warranties, liability and indemnities, Governing law and disputes and this section survive the end of the licence, together with any provision that by its nature should survive.
